Exciting opportunity for an experienced Group Secretarial Assistant to join a leading financial services organisation with ambitious plans to grow in the near future!

Seeking senior level EA/Company Secretary with experience gained within corporate governance to join a successful investment firm with a focus on tech and financial services.

Seeking an individual who has experience of supporting a team within either financial services or tech at senior level.

Responsibilities will include;

  • Providing the full company secretarial services globally to their Boards of Directors and committees.
  • Strong drafting skills to produce full range of error-free corporate approvals for complex transactions.
  • Drafting agendas, board and committee packs, preparing minutes of meetings and action points.
  • Advising on the corporate governance requirements arising from UK company law and tracking compliance with those requirements
  • Reviewing and provide drafting inputs on a wide range of legal documents (Services Agreements, SPAs, Loan Agreements etc).
  • An understanding of investments and general fund legal/tax structuring and life cycles.
  • Selection and project management of third-party service providers, including but not limited to solicitors, registered agents, directors, trustees, accountants, auditors, tax advisers and banks.
  • Assistance and coordination of bank account opening process for designated entities
  • Collation and provision of a full spectrum of KYC and AML documents,  source of wealth; statements of assets and liabilities, FATCA and CRS Self-Certification Forms.
  • Responsible for the management of purchase invoices for payments (that includes checking the purchase invoices against the orders, getting in touch with the agent if there are discrepancies in the invoices) and present to line manager for daily authorisation as required.
  • Responsible for the issuance of sale orders, sending out invoices to the clients and further follow ups in timely and efficient manner.
  • Assist the accountants in respect of the planning and coordination of audits.

  • Some legal and corporate governance experience preferred
  • Educated to Degree Level
  • ICSA qualified/ part-qualified or equivalent is a bonus
  • Strong knowledge of UK company law in general
  • Proven track record of managing projects within a large, highly complex, cross-functional environment.
