Company Secretary
Full-time, Permanent post linked to the Norwich office - Flexible Location
What does the role involve
We are looking for an extremely organised and efficient Company Secretary to be responsible for a wide variety of secretariat activities for the firm. Our Company Secretaries provide a proactive secretarial service using Diligent Entities (formerly Blueprint) to a variety of clients and are first points of call on governance issues by both the NSL and external clients; they use their experience to guide, advise and assist Boards in achieving desired results.
Who will I be working with
This role can be based in any of our offices except London. You will work with our existing Company Secretary based in Norwich with secretariat sitting within the Corporate team. You will provide support to the NSL members based in our Birmingham, Cambridge, Leeds, London, Manchester and Norwich offices as well as other fee earners within other service lines across the whole firm.
Work undertaken by the team
Our secretariat team is part of our national corporate services line, which provides support to a wide range of clients including corporates, family investment companies, universities and charities.
Main Duties and responsibilities
on-going maintenance of company statutory records and share transactions
managing and inputting data on to Diligent Entities
co-ordinating and submitting filings to Companies House
company incorporations
reconstructing statutory registers
company restorations;
secretariat support on large corporate transactions
incorporation of charities and knowledge of charitable organisations
providing fee estimates and service information internally and directly to clients
drafting minutes, shareholder resolutions, and articles of association.
attending client board meetings and taking board minutes
supervision of junior colleagues and provision of training to colleagues.
Person specification
Our ideal candidate will be ICSA/CGI qualified as a minimum, with previous company secretarial experience gained within the professional services sector with a legal, financial or corporate background supporting a large portfolio of clients. You will be self-disciplined, flexible, produce work of excellent quality, a confident and friendly team player and will have a "can do" attitude with an ability to work under pressure and to tight deadlines.
