Board Manager/ Company Secretary
We are recruiting for an experienced Board Administration Manager, with proven experience managing a team of Executive Assistants, for an Insurance company based in London. The main purpose of the the role will be the overall line management of an experienced team of EA's alongside general company secretarial duties and attending and producing minutes of meetings. This role will include overseas travel.
Main responsibilities
- Manage a team of three Executive Assistants; monitor workload, conduct appraisals, identify training needs and manage absences.Oversee the development of procedures for the various tasks undertaken by the Secretariat.Draft agendas and produce information packs for various board level meetingsOversee the production of Secretary's Notes and responsibility for ensuring that proposed resolutions are brought to the attention of the Board.Draft/submit memoranda on various topics as required.Attend and take minutes at Board meetings (including overseas meetings circa 4 times a year) Responsibility for ensuring that minutes of previous meetings and any other formal documents are signed and processedPerform general Company Secretarial tasksLiaise with overseas offices/advisors to ensure corporate filings are completed in other jurisdictions.Coordinate the annual review of the Terms of ReferenceMaintain and coordinate the annual review of the Registers of Interests Issue Notices of Meeting and obtain corporate proxies as required.Draft letters of appointment Oversee the maintenance of certain elements of the corporate libraryProduction of reference manuals
Skills and experience
Essential
- Must have experience of managing a team Must be willing to travel overseas four times a year Audio typing Minute taking
Desirable
- Previous overseas working experience Ideally exposure within a legal department
