I am looking for a Company Secretary who maybe looking for a new challenge. My client is looking for a Company Secretary to work within their London office who has excellent minute taking for this busy new role! The role will be based with in Global Insurance company based in the City of London.

  • Handle annual returns for Regulated and Head Office companies.
  • Forward reports and accounts to Companies House for all Regulated and Head Office companies and to banks/underwriters as necessary.
  • Notify Companies House where necessary of new additions/changes regarding directors/shareholders.
  • Prepare agendas for all group board meetings and assist with minutes for group companies as required.
  • Complete and return forms to HMRC and Companies House as necessary.
  • Complete Stock Transfer Forms for transactions in shares (e.g. for staff leavers etc.).
  • Maintain and update internal Share Registers (e.g. new shares issued, address changes etc.) plus relevant spreadsheets.
  • Fielding both internal and external general company secretarial queries.
  • General Company Secretarial work such as minute taking of Board meetings and sub-committee meetings, typing, and setting up Word documents, Excel spreadsheets and PowerPoint presentations as required.
  • Being the first point of contact for the Trustees of the now closed Defined Benefits Pension Scheme.
  • Organising and coordinating dates for Regulated and Head Office companies and sub-committee meetings of those companies.
  • Provide and maintain management information, and provide ad hoc reports and information to the Director(s), as required.

Compliance:

  • Comply with relevant legal, regulatory and Ed. compliance requirements, E&O compliance procedures and quality initiatives.
  • Escalate any potential E&O's to the relevant Director and the Legal & Compliance team at the earliest opportunity.
